This Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your information when You use the Service and tells You about Your privacy rights and how the law protects You.


In short: We store Your On-Device Memory on your device. Some content You capture is sent transiently to trusted AI inference and transcription providers solely to generate responses, surface action items, and run decision-tracing; it is not retained by them beyond what's needed to deliver the response, is never used to train their models, and is handled under the retention terms set out in Our data processing agreement with each provider, and We never sell Your data or hand it to third parties for their own independent use. Using the Service means this Privacy Policy applies to You.

Interpretations and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of this Privacy Policy:


  1. Account means a unique account created for You to access our Service or parts of our Service.

  2. Application refers to minimi, the software program provided by the Company.

  3. Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Shram Intelligence, Inc., 16192 Coastal Highway, Lewes, Delaware 19958, USA.

  4. Country refers to: the United States of America, where the Company is incorporated.

  5. Device means any device that can access the Service, such as a computer, a cellphone, or a digital tablet.

  6. On-Device Memory means the content the Application captures and builds into a personal memory store directly on Your Device - including screen, browser, and application content, and microphone/system audio, where permitted. On-Device Memory is not stored on the Company's servers.

  7. Personal Data is any information that relates to an identified or identifiable individual, not including Your On-Device Memory. Please note that this exclusion is for organizational purposes within this Policy only and does not change how On-Device Memory is classified under applicable law - it may still constitute "personal data," "personal information," or an equivalent regulated category under GDPR, CCPA, India's DPDP Act, or other applicable data protection laws, and Your rights under those laws with respect to such content are unaffected by this Policy's internal terminology.

  8. Service refers to the Application.

  9. Service Provider means any natural or legal person who processes data on behalf of the Company. It refers to third-party companies or individuals employed by the Company to facilitate the Service, to provide the Service on behalf of the Company, to perform services related to the Service, or to assist the Company in analyzing how the Service is used, including third-party artificial intelligence and large-language-model providers used to process on-device memory where You have enabled a feature that requires it (see "AI and Language Model Processing" below).

  10. Usage Data refers to data collected automatically, either generated by the use of the Service or from the Service infrastructure itself (for example, the duration of a session).

  11. You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Collecting and using your Personal Data

Types of Data Collected

Personal Data

"Personal Data" in this section does not include Your On-Device Memory - the content minimi captures and builds into Your personal memory store. That stays on Your Device; see Information Collected While Using the Application, below.


While using Our Service, We may ask You to provide Us with certain personally identifiable information that can be used to contact or identify You. This is limited to:

  • Email address

  • Username

  • Billing information, processed by Our payment providers - We do not store full card numbers Ourselves

Usage Data

Usage Data is collected automatically when using the Service, through Our analytics provider. It may include event-level information such as feature usage and onboarding steps, Your Device's Internet Protocol (IP) address, and diagnostic data.


Usage Data does not include Your On-Device Memory - the content captured and stored on Your device is never sent to Our analytics provider.

Information Collected while Using the Application

While using Our Application, in order to provide its features, We may collect, with Your prior permission:

  • Content from Your screen, browser activity, and interactions within supported applications, captured via Your Device's accessibility permissions

  • Microphone and system audio, used to build memory from meetings and conversations


Where the Service is used to capture meetings, calls, or conversations involving other individuals, You are solely responsible for obtaining any consent required under applicable law before enabling microphone or system audio capture, including in jurisdictions with all-party or two-party consent requirements for recording conversations. You agree not to use the Service to record any individual without the legally required consent of that individual.


To generate responses, surface action items, and run decision-tracing, relevant content is sent transiently to Our AI inference layer and to Our transcription Service Provider for processing - it is retained by such providers only for the minimum period necessary to deliver the response (and, where applicable, for a limited abuse-monitoring window as governed by Our data processing agreements with each provider), and is never used by them to train their own models. See "AI and Language Model Processing" below for which providers are involved and how.


You can enable or disable access to this information at any time, through Your Device settings.

AI and Language Model Processing

Providers that process Your memory as it's captured and indexed

To create Your On-Device Memory, and to power features like action-item extraction and decision-tracing, relevant content is sent transiently to the following providers:

  • Google Gemini, hosted on Google Cloud and routed via AWS - used for creating embeddings

  • OpenAI ChatGPT, hosted on Microsoft Azure - used for surfacing action-items and run decision-tracing

  • Deepgram - audio transcription


This content is processed solely to deliver the requested feature, is not retained by these providers after processing, and is never used by them to train their own models. It is governed by data processing agreements between the Company and each provider.

The LLM You connect to query Your memory

When You query Your memory, a relevant retrieved slice of Your On-Device Memory is sent to the language model You've chosen to connect via MCP, which may be models by companies such as Google, Anthropic, Open AI, etc


Because You select and authorize this connection Yourself, the choice of provider - and what that provider does with the data once received - is governed by Your own agreement with that provider, not by Us. We recommend reviewing the relevant provider's privacy policy.

Use of Your Personal Data

The Company may use Personal Data (account email, username, billing records) for the following purposes:

  • To provide and maintain Our Service, including to monitor the usage of Our Service

  • To manage Your Account: to manage Your registration as a user of the Service

  • To contact You: by email or other electronic communication regarding updates, security notices, or informative communications related to the Service, when necessary or reasonable

  • To manage Your requests: to attend and manage Your requests to Us

  • For business transfers: We may use Your information to evaluate or conduct a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Our assets, in which Personal Data held by Us is among the assets transferred

  • For other purposes: data analysis, identifying usage trends, and evaluating and improving Our Service and Your experience


We may share Your personal information (account email, username, billing records), in the following situations:

  1. With core Service Providers: to operate, host, and maintain the Service, and to monitor and analyze its use. See Service Providers below for the specific providers We use.

  2. For business transfers: in connection with, or during negotiations of, any merger, sale of Company assets, financing, or acquisition of all or a portion of Our business.

  3. With Your consent: We may disclose Your personal information for any other purpose with Your consent.


We do not sell Your personal information. We do not share it with third parties for their own independent use.

Retention of Your Personal Data

Your On-Device Memory is not held on Our servers, so We have nothing to retain once processing is complete - it remains on Your Device until You delete it or uninstall the Application.


The Company will retain Your Personal Data (account email, username, billing records) only for as long as You remain an active user of the Service, or as necessary to comply with Our legal obligations, resolve disputes, and enforce Our agreements and policies. If You terminate Your Account, this data is deleted, or deleted promptly upon written request to Us.

Transfer of Your Personal Data

Your information, including Personal Data (account email, username, billing records), is processed at the Company's operating offices and in any other places where the parties involved in the processing are located, including through Our cloud infrastructure and Service Providers. This means Your information may be transferred to - and maintained on - servers located outside of Your state, province, country, or other governmental jurisdiction, where data protection laws may differ from those in Your jurisdiction.


The Company will take all steps reasonably necessary to ensure Your data is treated securely and in accordance with this Privacy Policy.

Delete Your Personal Data

You have the right to delete, or request that We assist in deleting, the Personal Data (account email, username, billing records) that We have collected about You.


You can delete Your On-Device Memory at any time, directly within the Application, or remove it entirely by uninstalling the Application.


You may also contact Us at oz@projectminimi.com to request access to, correct, or delete Your Personal Data (account email, username, billing records), or Usage Data held by Our analytics provider, or to terminate Your Account. Please note that We may need to retain certain information where We have a legal obligation to do so.

Disclosure of Your Personal Data

Business Transactions

If the Company is involved in a merger, acquisition, or asset sale, Your Personal Data (account email, username, billing records) may be transferred but never your personal memory data. We will provide notice before Your Personal Data is transferred and becomes subject to a different Privacy Policy.

Law enforcement

Under certain circumstances, the Company may be required to disclose Your Personal Data (account email, username, billing records) if required to do so by law or in response to valid requests by public authorities (e.g. a court or a government agency).

Other legal requirements

The Company may disclose Your Personal Data (account email, username, billing records) in the good faith belief that such action is necessary to:

  1. Comply with a legal obligation

  2. Protect and defend the rights or property of the Company

  3. Prevent or investigate possible wrongdoing in connection with the Service

  4. Protect the personal safety of Users of the Service or the public

  5. Protect against legal liability

Security of Your Personal Data

The security of Your Personal Data is important to Us. We implement industry-standard security measures, including encryption in transit (TLS 1.3), encryption of all data at rest, secure connections for database communications, and regular security audits. That said, no method of transmission over the Internet, or method of electronic storage, is 100% secure, and We cannot guarantee its absolute security.

Service Providers

We work with the following trusted Service Providers to operate minimi. Each is bound by confidentiality and data-processing agreements and cannot use Your data for their own independent purposes:

  • AWS and Microsoft Azure - cloud infrastructure hosting

  • Deepgram - audio transcription

  • Stripe and Dodo Payments - payment processing

  • PostHog - product analytics on the desktop Application

India - Your Rights as a DPDP Act User

If You are located in India, the Digital Personal Data Protection Act, 2023 gives You rights of access, correction, erasure, and grievance redressal over Your personal data. Our Grievance Officer is:

GDPR - Your Rights as an EEA/UK User

If You are an individual in the European Economic Area (EEA) or the United Kingdom (UK), We collect and process Your information only where We have a legal basis to do so, which depending on Your use of the Service is: the necessity of providing You the Service; a legitimate interest of Ours not overridden by Your data protection interests; Your consent for a specific purpose (e.g. microphone/audio capture, which is permission-gated); or a legal obligation We must comply with.


Where Your On-Device Memory constitutes personal data under GDPR, the rights described in this section (access, rectification, erasure, and objection) apply to it as well. Because On-Device Memory is stored only on Your Device, You can exercise these rights directly by editing or deleting content within the Application, or by uninstalling it.


We have not yet appointed an Article 27 GDPR representative in the EU; We will do so if and when required by Our EU user volume. We monitor Our EU user volume on an ongoing basis and will appoint a representative promptly if and when the applicable threshold is met. California Privacy Rights (CCPA)

If You are a California resident, You have the right to know what Personal Data (account email, username, billing records) We collect, request its deletion, and opt out of its "sale" or "sharing" as those terms are defined under the CCPA. As stated above, We do not sell or share Your Personal Data. You can exercise these rights by contacting Us at the email below.


These rights also extend to Your On-Device Memory to the extent it constitutes "personal information" under the CCPA; as above, You can exercise them directly within the Application since this content is not held on Our servers.

Children's Privacy

Our Service is not intended for anyone under the age of 18. We do not knowingly collect Personal Data (account email, username, billing records) from anyone under the age of 18. If You are a parent or guardian and are aware that Your child has provided Us with Personal Data, please contact Us, and We will take steps to remove that information from Our servers.

Links to Other Websites

Our Service may contain links to other websites that are not operated by Us. If You click on a third-party link, You will be directed to that third party's site. We strongly advise You to review the Privacy Policy of every site You visit. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services.

Reporting a Security Issue

If You discover a potential security vulnerability in the Service, please report it to Us immediately at oz@projectminimi.com. Please include a description of the vulnerability and the steps needed to reproduce it. We ask that You not publicly disclose the issue until We have had a reasonable opportunity to investigate and address it.

Changes to this Privacy Policy

We may update Our Privacy Policy from time to time. We will notify You of any changes by posting the new Privacy Policy on this page and updating the "Last updated" date above. We will let You know via email and/or a prominent notice on Our Service prior to the change becoming effective.
